Product Use License:

COGS Automation Templates

Thank you for choosing COGS Automation Templates. This license allows you to use the templates you've acquired (either purchased or free) to streamline your automation processes. The purchase grants you a license to use these templates for creating automated workflows. However, you are prohibited from reselling, sharing, or distributing the templates or any derivative products on any platform. Your support for fellow professionals by respecting these terms is appreciated. This license is granted to users of COGS Automation Templates for operational efficiency within their own establishments or organizations.

Please note the following important disclaimers:

  • Subscription Responsibility: The use of COGS Automation Templates may require a subscription to third-party tools or services, such as Zapier. Clients are responsible for maintaining their own subscriptions to these tools. Chatham Oaks Growth Solutions does not provide these third-party tool subscriptions and will not be responsible for the subscription fees or management of these third-party accounts.

  • Black Diamond Automations: All Black Diamond automation templates require professional setup to ensure correct implementation and optimal performance. The cost of this professional setup is included in the purchase price of the Black Diamond automation templates. This is to guarantee that the product is configured accurately and to provide the best possible start for using the automation within your organization.

While the templates facilitate automation with popular tools such as Zapier, they may require additional software, potentially incurring extra costs. Ownership remains with Chatham Oaks Growth Solutions and its vendor partners, and repackaging, reselling, or using the templates for commercial gain without explicit permission is not allowed.

Gear List Use License

The Gear List is provided for personal or internal business use to aid in the selection of equipment and tools for operational efficiency. The information may not be reproduced, distributed, or sold in any form without explicit permission from Chatham Oaks Growth Solutions.

Industry Bundles Use License

These bundles are curated sets of tools, templates, and resources tailored to specific industries. This license permits the use of the bundles within your organization to improve business processes, excluding redistribution, resale, or sharing outside of your organization without permission.

Merch Use License

Chatham Oaks Merchandise is intended for personal use or as gifts and should not be resold, replicated, or used in a commercial capacity without prior agreement with Chatham Oaks Growth Solutions. Unauthorized use of Chatham Oaks's intellectual property is strictly prohibited.

Agency Industry Automation Bundles License

  1. License Grant:
    COGS grants the User a non-exclusive, non-transferable, and limited license to use the Agency Industry Automation Bundles (“Automation Bundles”) solely for the intended purpose specified in this Agreement. The Automation Bundles are provided for internal use only and must not be shared, sublicensed, or redistributed without prior written permission from COGS. For clarity, "internal use" refers solely to use by employees, contractors, or agents within the scope of their employment or engagement for the User's organization. 'Operational efficiency' refers only to actions directly relating to the User’s own business operations and excludes use in services rendered to third parties.

  2. Prohibited Use:
    The User agrees not to reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code or structure of the Automation Bundles. The User may not modify, adapt, or create derivative works of the Automation Bundles without the express written consent of COGS. Unless explicitly permitted in writing, the User may not reverse-engineer, decompile, disassemble, or modify any product or create derivative works based on any product licensed under this Agreement.

  3. Unauthorized Use:
    Any unauthorized access, distribution, or use of the Automation Bundles outside of the scope of this Agreement, including but not limited to use by third parties or in industries not covered by the license, will be considered a breach of this Agreement. COGS reserves the right to pursue all available legal remedies, including but not limited to immediate termination of access to the Automation Bundles, legal action for damages, and injunctive relief.

  4. Compliance with Licensing:
    Users must strictly adhere to the terms of the license governing the use of Automation Bundles. Any failure to comply with these terms, including using Automation Bundles without prior allowance from COGS, will result in immediate revocation of the User’s license and potential legal liability for infringement. Any workflows, automations, or derivative works created using COGS Automation Templates remain the intellectual property of Chatham Oaks Growth Solutions. The User is granted a license to use these derivative works solely within their organization under the same terms as the original templates.

  5. Audit Rights:
    COGS reserves the right to audit the User’s use of the Automation Bundles to ensure compliance with the terms of this Agreement. Such audits may occur up to twice per calendar year, with at least 10 days’ notice, and during regular business hours. Refusal to cooperate or any attempt to obstruct the audit process will result in immediate termination of the license and potential legal action, including recovery of any damages and audit costs.

  6. Termination of License:
    In the event of a breach, COGS will provide written notice to the User, specifying the nature of the breach. The User will have 15 days to cure the breach to COGS' satisfaction. If the breach is not remedied within this period, COGS reserves the right to terminate the license immediately. Upon termination, the User must immediately cease all use of the Automation Bundles and delete any copies in their possession.

Ownership

The rights to any product(s) you purchase or download from https://www.chathamoaks.co/ remain with Chatham Oaks Growth Solutions and its vendor partners. Repackaging, reselling, or using the products for commercial gain without explicit permission from Chatham Oaks Growth Solutions and its vendors is not allowed.

Compliance Failure

Non-compliance with these terms will result in immediate termination of your rights and license to use the products, with potential legal action. In addition to termination of the license, COGS reserves the right to seek injunctive relief to prevent further breach, liquidated damages in the amount of $[specific amount] per breach, and recovery of attorney fees, audit costs, and any other costs incurred as a result of the breach.

Limitation of Liability

All products are provided as-is, with no guarantees on performance or error-free operation. Chatham Oaks Growth Solutions is not liable for any direct or indirect consequences of using the products. No refunds are provided for digital products. There is no limitation on the User's liability for breaches related to unauthorized use, distribution, reverse engineering, or any violation of Chatham Oaks Growth Solutions' intellectual property rights.

Indemnification

The User agrees to indemnify and hold harmless Chatham Oaks Growth Solutions from any claims, damages, losses, or legal fees arising out of or related to (i) any breach of this Agreement, (ii) unauthorized use of the products, or (iii) misuse of the products in violation of the terms of this Agreement.

By purchasing or downloading any products from Chatham Oaks Growth Solutions, you agree to adhere to this Product Use License, ensuring respect and support for the creators and their valuable contributions.
